BB&T will start charging us a $10 monthly fee unless we can go in by the end of the year with our 503c information and switch over to a community account. If we do this there will be no monthly fee. I need to the account which will require a minimum of one of the existing people listed on the account to come in with me.<br />

Expenses are slightly higher than income with month but there are still a few unpaid dues, some going back a few months, which I need to go over with Lisa in order to figure out who to pester. I accidentally charged a couple people the transaction fee which I could refund and hopefully shouldn't be difficult to do.<br />

Totals are above. Darren will work with people who owe dues. Our income is behind our expenses so far, but should be fine once dues are paid up. We Pay transition is going pay. There was some confusion among attendees about how to pay with We Pay, so there were some tutorials following the formal meeting. Lisa and Darren will have a planning session.<br />

<br />
== Section I. Purpose of Conflict of Interest Policy.==<br />
<br />
The purpose of this conflict of interest policy is to protect this tax-exempt corporation's interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of the corporation or any "disqualified person" as defined in Section 4958(f)(1) of the Internal Revenue Code and as amplified by Section 53.4958-3 of the IRS Regulations and which might result in a possible "excess benefit transaction" as defined in Section 4958(c)(1)(A) of the Internal Revenue Code and as amplified by Section 53.4958 of the IRS Regulations. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. <br />
<br />
== Section II. Definitions.==<br />
<br />
1. Interested Person. Any principal officer, member of a committee with governing board delegated powers, or any other person who is a "disqualified person" as defined in Section 4958(f)(1) of the Internal Revenue Code and as amplified by Section 53.4958-3 of the IRS Regulations, who has a direct or indirect financial interest, as defined below, is an interested person.<br />
<br />
2. Financial Interest. A person has a financial interest if the person has, directly or indirectly, through business, investment, or family:<br />
<br />
a. An ownership or investment interest in any entity with which the corporation has a transaction or arrangement, <br />
b. A compensation arrangement with the corporation or with any entity or individual with which the corporation has a transaction or arrangement, or<br />
c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the corporation is negotiating a transaction or arrangement.<br />
<br />
3. Compensation. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. Under Section 3, paragraph B, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists.<br />
<br />
== Section III. Conflict of Interest Avoidance Procedures.==<br />
<br />
1. Duty to Disclose. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the officers and members of committees with governing board delegated powers considering the proposed transaction or arrangement.<br />
<br />
2. Determining Whether a Conflict of Interest Exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.<br />
<br />
3. Procedures for Addressing the Conflict of Interest. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.<br />
<br />
a. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. <br />
b. After exercising due diligence in reviewing the request, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. <br />
c. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.<br />
<br />
4. Violations of the Conflicts of Interest Policy. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. <br />
<br />
==Section IV. Records of Board and Board Committee Proceedings.==<br />
<br />
The minutes of meetings of the Council, Executive Committee and all committees with delegated authority shall contain:<br />
<br />
1. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board's or committee's decision as to whether a conflict of interest in fact existed. <br />
<br />
2. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.<br />
<br />
==Section V. Compensation Approval Policies.==<br />
<br />
1. A voting member of the governing board who receives compensation, directly or indirectly, from the corporation for services is precluded from voting on matters pertaining to that member's compensation.<br />
<br />
2. A voting member of any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the corporation for services is precluded from voting on matters pertaining to that member's compensation.<br />
<br />
3. No voting member of the governing board or any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the corporation, either individually or collectively, is prohibited from providing information to any committee regarding compensation.<br />
<br />
4. When approving compensation for directors, officers and employees, contractors, and any other compensation contract or arrangement, in addition to complying with the conflict of interest requirements and policies contained in the preceding and following sections of this article as well as the preceding paragraphs of this section of this article, the board or a duly constituted compensation committee of the board shall also comply with the following additional requirements and procedures:<br />
<br />
a. the terms of compensation shall be approved by the board or compensation committee prior to the first payment of compensation,<br />
b. all members of the board or compensation committee who approve compensation arrangements must not have a conflict of interest with respect to the compensation arrangement as specified in IRS Regulation Section 53.4958-6(c)(iii), which generally requires that each board member or committee member approving a compensation arrangement between this organization and a "disqualified person" (as defined in Section 4958(f)(1) of the Internal Revenue Code and as amplified by Section 53.4958-3 of the IRS Regulations):<br />
<br />
i. is not the person who is the subject of the compensation arrangement, or a family member of such person;<br />
ii. is not in an employment relationship subject to the direction or control of the person who is the subject of the compensation arrangement<br />
iii. does not receive compensation or other payments subject to approval by the person who is the subject of the compensation arrangement <br />
iv. has no material financial interest affected by the compensation arrangement; and<br />
v. does not approve a transaction providing economic benefits to the person who is the subject of the compensation arrangement, who in turn has approved or will approve a transaction providing benefits to the board or committee member.<br />
<br />
c. the board or compensation committee shall obtain and rely upon appropriate data as to comparability prior to approving the terms of compensation. Appropriate data may include the following:<br />
<br />
i. compensation levels paid by similarly situated organizations, both taxable and tax-exempt, for functionally comparable positions. "Similarly situated" organizations are those of a similar size, purpose, and with similar resources<br />
ii. the availability of similar services in the geographic area of this organization<br />
iii. current compensation surveys compiled by independent firms<br />
iv. actual written offers from similar institutions competing for the services of the person who is the subject of the compensation arrangement. <br />
<br />
As allowed by IRS Regulation 4958-6, if this organization has average annual gross receipts (including contributions) for its three prior tax years of less than $1 million, the board or compensation committee will have obtained and relied upon appropriate data as to comparability if it obtains and relies upon data on compensation paid by three comparable organizations in the same or similar communities for similar services.<br />
<br />
d. the terms of compensation and the basis for approving them shall be recorded in written minutes of the meeting of the board or compensation committee that approved the compensation. Such documentation shall include:<br />
<br />
i. the terms of the compensation arrangement and the date it was approved<br />
ii. the members of the board or compensation committee who were present during debate on the transaction, those who voted on it, and the votes cast by each board or committee member<br />
iii. the comparability data obtained and relied upon and how the data was obtained<br />
<br />
e. if the board or compensation committee determines that reasonable compensation for a specific position in this organization or for providing services under any other compensation arrangement with this organization is higher or lower than the range of comparability data obtained, the board or committee shall record in the minutes of the meeting the basis for its determination.<br />
<br />
f. if the board or committee makes adjustments to comparability data due to geographic area or other specific conditions, these adjustments and the reasons for them shall be recorded in the minutes of the board or committee meeting<br />
<br />
g. any actions taken with respect to determining if a board or committee member had a conflict of interest with respect to the compensation arrangement, and if so, actions taken to make sure the member with the conflict of interest did not affect or participate in the approval of the transaction (for example, a notation in the records that after a finding of conflict of interest by a member, the member with the conflict of interest was asked to, and did, leave the meeting prior to a discussion of the compensation arrangement and a taking of the votes to approve the arrangement).<br />
<br />
h. the minutes of board or committee meetings at which compensation arrangements are approved must be prepared before the later of the date of the next board or committee meeting or 60 days after the final actions of the board or committee are taken with respect to the approval of the compensation arrangements. The minutes must be reviewed and approved by the board and committee as reasonable, accurate, and complete within a reasonable period thereafter, normally prior to or at the next board or committee meeting following final action on the arrangement by the board or committee. <br />
<br />
==Section VI. Annual Statements==<br />
<br />
Each director, principal officer, and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person:<br />
<br />
a. has received a copy of the conflicts of interest policy<br />
b. has read and understands the policy,<br />
c. has agreed to comply with the policy, and<br />
d. understands the corporation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.<br />
<br />
==Section VII. Periodic Reviews==<br />
<br />
To ensure the corporation operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects:<br />
<br />
1. Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's-length bargaining.<br />
<br />
2. Whether partnerships, joint ventures, and arrangements with management organizations conform to the corporation's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes, and do not result in inurement, impermissible private benefit, or in an excess benefit transaction.<br />
<br />
==Section VIII. Use of Outside Experts==<br />
<br />
When conducting the periodic reviews as provided for in Section 7, the corporation may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted.<br />

BB&T will start charging us a $10 monthly fee unless we can go in by the end of the year with our 503c information and switch over to a community account. If we do this there will be no monthly fee. I need to the account which will require a minimum of one of the existing people listed on the account to come in with me.<br />

Expenses are slightly higher than income with month but there are still a few unpaid dues, some going back a few months, which I need to go over with Lisa in order to figure out who to pester. I accidentally charged a couple people the transaction fee which I could refund and hopefully shouldn't be difficult to do.<br />

It's been an incredible year. We've had at least 160 gatherings at the space, participated in MakerFaire NC, took on the Global Hackerspace Challenge, and are on the road to becoming a federally-recognized not-for-profit. We're cash-positive and have been accumulating membership slowly but surely.<br />

What does our future hold? I think our past is a strong indicator. The high-level directions I see us going in are:<br />

* Continuing to invite and host Meetups and individual classes<br />
* Involving ourselves in or organizing local conferences and functions<br />
* Improving the layout and load-out of the space to make it more conducive to a wider variety of projects<br />
* Spreading the hackerspace idea and ideals throughout the triangle, culminating with the opening of a space in Raleigh<br />

From an implementation aspect, I think we can do a better job:<br />

* Monetizing meetups and gatherings at the space. Should we have and stock our own vending machine?<br />

While they don't yet have a formal subscription process, they do have a mechanism for automatic monthly billing, and it's only a minor pain to set up. The way it works is that I create a recurring bill for an individual member, which is sent out via email. When the member views the bill in WePay, you will see two options for how to pay - credit card or bank account - and a checkbox for "automatically pay this recurring bill". If you check the checkbox, the bill will be paid automatically each month using the payment method you choose for your first payment.<br />

If you're comfortable paying your bill from a checking account, that's by far the most cost-effective option - $.50 per transaction, flat rate. The fee for credit card payments is 3.5%, so the WePay fee for a $50 membership payment is the same as PayPal's fee - $1.75 per $50 payment. <br />

While they don't yet have a formal subscription process, they do have a mechanism for automatic monthly billing, and it's only a minor pain to set up. The way it works is that I create a recurring bill for an individual member, which is sent out via email. When the member views the bill in WePay, you will see two options for how to pay - credit card or bank account - and a checkbox for "automatically pay this recurring bill". If you check the checkbox, the bill will be paid automatically each month using the payment method you choose for your first payment.<br />

If you're comfortable paying your bill from a checking account, that's by far the most cost-effective option - $.50 per transaction, flat rate. The fee for credit card payments is 3.5%, so the WePay fee for a $50 membership payment is the same as PayPal's fee - $1.75 per $50 payment. <br />

1) We received a super-fancy OKI soldering station as one of our prizes for participating in the GGHC (Great Global Hackerspace Challenge). I dropped it off in the space last week and placed the box on the front table.<br />

2) I am recruiting artists, tinkerers, and volunteers for the geekSPARK 2011 Digital Motion Showcase. We can use volunteers of all sorts. For the tinkerers and artists, we're looking for people who can collaborate to create interactive experiences with audio, video, sound, and electronic sensor. I had looked into their offerings before and was stymied by the apparent lack of an automatic recurring payment option; they now have a slightly-clunky option for recurring bills that can be paid either by checking account or credit card, and they're actively working on adding the same kind of "Subscribe" button functionality that PayPal offers.<br />

I'm going to check out their interface and see how it compares to PayPal; if it looks like a good fit, we could discuss switching over next month.<br />

Welcome to Splat Space! This guide is an effort to consolidate information useful for new and current members. If you see something missing or incorrect, don't hesitate to edit.<br />

==What is Splat Space?==<br />

Splat Space is a [http://en.wikipedia.org/wiki/Hackerspace hackerspace]. It's a place where people with common interests get together to discuss and "hack" on projects, where "hacking" means any kind of creative, legal exploration of any technology or concept. Usually, our projects and discussion are technology-related, but not always.<br />

===Project Space===<br />

Individual members can use the space to work solo, or they can start or participate in any [http://wiki.splatspace.org/index.php/Main_Page#Projects project]. The only hard constraint on projects worked on in the space is that they should be legal. The only soft constraint on projects is that those working on them should be willing to share knowledge and involve other members. Splat Space doesn't claim any ownership of "intellectual property" developed in the space, but encourages its members to share their work.<br />

In addition to working on our own projects, we've also participated in the [http://hackerspaces.org/wiki/Global_Hackerspace_Hackathon_Challenges Global Hackerspace Challenge], a monthly event that challenges hackerspaces all over the world to work on similarly-themed projects.<br />

===Meeting Place===<br />

In addition to hosting its own weekly open meetings, Splat Space has hosted Meetups and talks for groups across the Triangle. Recently, our members have collaborated with the [http://durham.thepublicschool.org/ Durham Public School], a website that lets people propose and create ad-hoc classes on any topic. Several classes that began as ideas on the Durham Public School website were hosted at Splat Space.<br />

===Doors and Parking===<br />

The doors to the Snow Building, which we are in the basement of, unlock automatically at 8:30AM and lock again at 5PM. Members are given RFID "key fobs" in order to gain entry after-hours. Members are also provided a physical key with which to open the Space itself. We hope to eliminate the need for a physical key with our [[Doorduino]] project, which would let members open the space with the same RFID used for building entry.<br />

==Donating Stuff==<br />

Having lots of spare parts and equipment around is an important part of making Splat Space a good place to work on projects. However, it's also critically important that we not fill up our space with stuff. We want what we choose to keep in the space to be generally useful or necessary.<br />

If you'd like to donate equipment or parts to the space, or otherwise put in the space parts or equipment you're not planning on immediately using, please first ask other members if they would find any of what you'd like to donate useful.<br />
<br />
Splat Space is not a federal non-profit, so donations to us are not tax deductible. We've talked about becoming a federal non-profit, but it's a significant amount of paperwork and effort to achieve. This is something we might like to do in the future.<br />

Members of Splat Space are encouraged to invite meetup groups and other organizations to the Space for meetings, talks, or workshops. Some general guidelines:<br />

I (Lisa) propose that we add Dwolla (http://www.dwolla.com/) as an additional payment option / alternative to PayPal. Dwolla allows direct payments from a member's bank account (checking or savings) to a SplatSpace Dwolla account and direct transfers from a Dwolla account to our BB&T account. Members would need to create a Dwolla account, associate a bank account (verification similar to the PayPal credit card verification process), and then set up payments from their Dwolla account to the SplatSpace Dwolla account.<br />

Dwolla's biggest advantage is their fees (or lack thereof). The only fee is $.25 per transaction. So where PayPal charges a transaction fee and a percentage (SplatSpace gets $48.75 of every $50 payment), Dwolla charges only a $.25 transaction fee (SplatSpace gets $49.75 of every $50 payment). Dwolla also supports multi-payment schedules (i.e. recurring payments) and automatic funds withdrawal (i.e. it automatically sweeps the Dwolla funds into our bank account so we never hold a balance in Dwolla). Paypal doesn't offer the latter, so the treasurer would no longer have to transfer funds manually (not that manual transfers are big deal, but it'd be nice not to have to remember to do it!) The non-profit transaction limit is $5,000 - I would love for us to hit that limit :) but don't see it as a big constraint any time soon.<br />

Dwolla's biggest disadvantage is that they require associating a bank account, rather than a credit card, to users' Dwolla accounts. Some members may be comfortable with this (especially credit union members, since credit unions tend to offer the same fraud protection to their bank accounts that credit card companies do to credit card accounts); others may not (especially regular-bank customers, since regular banks are not required to extend the same fraud protection to checking accounts, so whether they do or not may vary).<br />

I took an unofficial verbal poll, at one of the recent SplatSpace meetings, to see who would / would not be comfortable with using Dwolla to make payments; about half the people in the room were okay with it, about half were uncomfortable with attaching a bank account rather than a credit card. So my current proposal is that we add Dwolla as an optional alternative for members that are comfortable with the concept, based on the advantages above, and keep accepting PayPal payments from members who are ''not'' comfortable with Dwolla. (I will continue to investigate alternatives to PayPal, such as Google Checkout or Amazon Payments, for credit card dues payments.)<br />
